Welcome to Toonyug Audio. These terms and conditions outline the rules, regulations, and licensing agreements for the use of our website and digital audio assets. By accessing this website, we assume you accept these terms in full.

1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions (“Terms”) constitute a legally binding agreement between: Toonyug Audio, an India-based digital audio marketplace operating under the ownership of Harsh, located at Badarpur Border, New Delhi, India (“Company”, “We”, “Us”, “Our”), and You, the user, customer, or license purchaser (“User”, “You”, “Your”).
By accessing this website, creating an account, downloading, purchasing, or using any digital product from Toonyug Audio, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree to any part of these Terms, you must immediately stop using this website and its services.
2. NATURE OF PRODUCTS (DIGITAL GOODS)
2.1 Digital Downloads Only All products sold on Toonyug Audio are digital files only (such as MP3, WAV). No physical items (CDs, DVDs, USB drives, etc.) are shipped.
2.2 Instant Delivery After successful payment confirmation, your download link is generated instantly and sent via:
On-screen download access.
Registered email address.
2.3 User Responsibility You are solely responsible for:
Downloading files immediately.
Creating your own backups.
Toonyug Audio does not guarantee permanent cloud storage of purchased files.
3. LICENSING FRAMEWORK
Purchasing a product does NOT transfer copyright ownership, except in the case of the Owner License. By default, you are purchasing a license to use, not ownership.
A. CREATOR LICENSE (Personal & Educational Use)
Designed for Individual Creators, Students, Learners, and Hobbyists.
License Type: Non-exclusive, Non-transferable.
Validity: 1 Year from the date of purchase.
Usage Limit: Restricted to Unlimited Videos / 1 Account per license.
Allowed Platforms: Personal YouTube channel, Instagram, Facebook, TikTok, and Podcasts.
Monetization: ✅ Allowed on personal channels only.
Expiration Rule: Videos created within the active 1-year period remain permanently safe. Creating new projects after expiry is strictly prohibited unless the license is renewed.
❌ NOT Allowed:
Client projects or freelance work.
Paid advertisements.
OTT platforms, TV, Radio, or Theatrical releases.
Games, Apps, and Software.
B. COMMERCIAL LICENSE (Business & Professional Use)
Designed for Freelancers, Agencies, Brands, Filmmakers, and Game Developers.
License Type: Non-exclusive, Non-transferable, Perpetual (Lifetime).
Usage Limits: UNLIMITED projects and monetization.
Fully Allowed Uses:
✅ Client-paid projects & Freelance work.
✅ Ads & promotions (Social Media, TV, Radio).
✅ OTT platforms, Films, Documentaries, & Web Series.
✅ Mobile, PC & Console Games.
✅ Corporate videos & presentations.
C. OWNER LICENSE (Exclusive Buyout)
Exclusive Rights & Permanent Removal.
This license provides exclusive usage rights and ensures the track is permanently removed from the market.
Status: EXCLUSIVE OWNERSHIP
Rights Transferred:
✅ Exclusive & Perpetual Usage: You are the only authorized user globally.
✅ Content ID Registration: Allowed (to protect your specific Film/Game/Project).
✅ Distribution: Allowed on Spotify, Apple Music, and OTT platforms as part of your project.
✅ Modifications: Full freedom to edit, remix, and sample.
Strict Prohibitions:
❌ No Resale: You cannot resell or license the raw audio file as a stock asset (e.g., on AudioJungle or your own site).
❌ No Composer Credit: You cannot claim to be the original composer of the track.
Exclusivity: The track will be permanently removed from the Toonyug Audio marketplace immediately after purchase.
Refund Policy: ⚠️ Strictly Non-Refundable due to irreversible marketplace removal.
4. GENERAL PROHIBITIONS (FOR NON-OWNER LICENSES)
Unless you hold a valid Owner License, the following actions are STRICTLY PROHIBITED:
❌ Resell: You cannot resell or redistribute the raw music file.
❌ Stock Music: You cannot upload the track as stock music on other marketplaces.
❌ Streaming: You cannot upload the standalone track to Spotify, Apple Music, or SoundCloud.
❌ Content ID: You strictly cannot register the track in YouTube Content ID, Facebook Rights Manager, or any copyright detection system.
❌ AI Training: You cannot use the files to train Artificial Intelligence (AI) models.
❌ Claim Ownership: You cannot claim to be the original author or composer of the music.
Violation Results In: Immediate license cancellation, legal enforcement, and permanent account ban.
5. AI-GENERATED & HYBRID CONTENT DISCLAIMER
5.1 Hybrid Workflow: Some assets on Toonyug Audio are created using a hybrid workflow of Artificial Intelligence tools combined with human composition, mixing, and mastering.
5.2 Copyright Status: Copyright laws relating to AI content are evolving globally. Assets are provided “as available” without guarantee of future platform treatment regarding AI labeling.
5.3 No Liability: Toonyug Audio shall not be liable for future policy changes made by YouTube, Meta, OTT platforms, or governments regarding AI content.
6. PAYMENTS, TAXES & REFUNDS
Currency: All prices are listed in Indian Rupees (INR).
GST: Taxes (GST) may apply as per Indian government regulations.
Refund Policy: ⚠️ All sales are FINAL due to the digital nature of the products.
Exceptions: Refunds are considered only if the file is corrupted or the download link is broken and cannot be fixed by support.
Abuse Protection: Unauthorized chargebacks or payment disputes without contacting support may lead to permanent account suspension and legal recovery actions.
7. COPYRIGHT CLAIMS & CONTENT ID
7.1 Ownership Structure:
Standard Licenses (Creator/Commercial): You are purchasing a license to use the music. All copyright, ownership, and intellectual property rights remain 100% with Toonyug Audio.
Owner License: You obtain Exclusive Usage Rights and the ability to register Content ID for your project. However, Resale Rights (selling the raw file as stock) are NOT transferred and remain prohibited.
7.2 Content ID Restrictions:
❌ Creator & Commercial License: You are STRICTLY PROHIBITED from registering our music in YouTube Content ID, Facebook Rights Manager, or any copyright detection system. Doing so is a violation of this agreement and will result in a Copyright Strike against your channel.
✅ Owner License: You ARE AUTHORIZED to register the specific track in Content ID systems to protect your film, game, or exclusive project from piracy.
7.3 False Claim Resolution: If you hold a valid Creator or Commercial license and receive a false copyright claim (from a third party or system error), please contact support@toonyug.com with your Order ID and Video URL. We will whitelist your video manually.
7.4 Unauthorized Activity Enforcement: Toonyug Audio reserves the right to initiate immediate legal action and copyright strikes against any user (without an Owner License) who fraudulently claims ownership of our music on any platform.
8. LIMITATION OF LIABILITY
To the fullest legal extent, Toonyug Audio shall not be liable for any indirect damages, including but not limited to income loss, channel strikes, demonetization, platform removal, or business interruption. Our maximum liability shall never exceed the amount paid by you for the specific product.
9. INDEMNIFICATION
You agree to fully indemnify, defend, and hold harmless Toonyug Audio and its owners from any claims, damages, penalties, or legal costs arising from your misuse of the license, copyright violation, or breach of these Terms.
10. ACCOUNT TERMINATION
Toonyug Audio reserves the right to terminate your access immediately without notice if you breach any policy, engage in piracy, or misuse licenses. Upon termination, you must immediately stop using all downloaded files and delete all stored copies.
11. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and interpreted in accordance with the Laws of India. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts of New Delhi, India.
